All rights, title and interest in and to the Services are owned and retained exclusively by Allkeyshop ltd. Except for the rights and licenses expressly provided herein, all rights, title and interest in the Services, including all corrections, enhancements and modifications thereof, are reserved by Manage & Follow. You are responsible for Your employees', contractors' and agents' compliance with the terms and conditions of this Agreement.
YOU ARE SOLELY RESPONSIBLE FOR USING THE SERVICES IN A MANNER THAT COMPLIES WITH LAWS, RULES, DIRECTIVES, REGULATIONS AND OTHER REQUIREMENTS OF GOVERNMENT AND REGULATORY AUTHORITIES, INCLUDING, WITHOUT LIMITATION, EMPLOYMENT AND PRIVACY RELATED LAWS (COLLECTIVELY, “LAWS”). YOU SHALL NOT USE THE SERVICES IN ANY MANNER THAT VIOLATES LAWS.
You acknowledge that it is Your responsibility to inform Your personnel and users of the Services of the purpose of the Services, including the scope of information that may be collected, stored and used thorough the use of the Services. You shall defend, indemnify and hold harmless Manage & Follow against a third-party claim (including by any of Your personnel) that the Services collects, stores and uses any information, including personally identifiable information.
As part of the Services, Manage & Follow will make available to You for download from the Website a software agent to be installed on the computer of each of Your employees or contractors (Your “Workforce”) whom You will monitor using Services (the “Software”). Subject to the terms and conditions of this Agreement, Manage & Follow grants You a non-exclusive, non-transferable license to use the Software (in object code only) and the corresponding user documentation (“Documentation”, Software and Documentation referred to together as the “Product”) as described herein. The term “Product” shall include any corrections, enhancements, updates or other modifications, including any custom modifications, to the Software and Documentation delivered to You. The Product shall be used solely by You in connection with Your use of the Services as is permitted herein. All rights not expressly granted herein are retained by Manage & Follow.
You represent that the information provided by You in the online registration form is accurate, complete and current, and You agree to update that information promptly if there is any change.
We do our best to keep our customers happy. However legally the Service is provided "as is" and "as available" with all its faults. Manage & Follow makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, Manage & Follow does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the Service.
Manage & Follow, its' suppliers, distributors, officers, directors and employees, will not be liable for any, indirect, special, exemplary, consequential or incidental damages arising out of or in connection with this agreement or your use of or inability to use the services or software (including, without limitation, any damages for lost profits or business interruption), whether arising from mistakes, omissions, interruptions, deletion of files or e-mails, errors, defects, viruses or other malicious code, delays in operation or transmission, or any failure of performance, even if Manage & Follow has been advised of the possibility of such damages. in no event will the liability of Manage & Follow to you for all claims in the aggregate arising out of this agreement or your use of or inability to use the software or services, whether arising in contract, tort or any other legal theory (including, without limitation, negligence or strict liability), exceed an amount equal to the fees paid by you hereunder in the one year preceding the event giving rise to the claim.
You agree to defend, indemnify and hold harmless Teramind, its officers, directors, employees, contractors and suppliers and licensors, from and against any and all loss, claim or liability (including without limitation all attorneys’ fees and expenses) which they may incur in connection with: (a) Your breach of this Agreement; (b) Your use of the Services; or (c) any User Materials.
If any provision of these Terms is found to be invalid under any applicable law, such provisions shall be deleted without affecting the remaining provisions herein.
These terms and conditions are governed by and construed in accordance with the laws of Hong Kong and you irrevocably submit to the exclusive jurisdiction of the courts located in Hong Kong for the resolution of any disputes.
IF YOU DO NOT AGREE TO ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT, YOU MUST NOT USE THE SERVICE. BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THE TERMS AND CONDITIONS OF THIS AGREEMENT AND YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.

We take all the measures required to protect our services and our users from unauthorized access or unauthorized alteration, disclosure or destruction of information we hold. We have put in place industry standard physical and electronic enforcement mechanisms. All sensitive information transmission and storage are encrypted. Our websites are developed and regularly tested to withstand hacking attempts. The access to the sensitive data is restricted on need-to-know basis. While it has never happened to our services, if we become aware of any security breach that has a potential of disclosing your personal information, we will notify you within 48 hours and will share all incident-related information.
You can update or remove your data in “My Account” section of the service you are using or by contacting support. When you cancel your account, we delete all of the information related to your account. Note that while the information in our live system is deleted right away, for a limited time some of your data may remain in our backups.
